Terms of Service

These terms govern use of Pitch Protocol (the “Service”), operated by Growth Factory Ventures, LLC (“Pitch Protocol”, “we”, “us”). By creating an application or using the MCP server, you agree to these terms.

1. Who can use the Service

2. What the Service does — and doesn’t do

Pitch Protocol routes structured pitches to participating venture funds. We are not an investment adviser, broker-dealer, placement agent, or fiduciary. Nothing on the Service is an offer or solicitation to buy or sell securities. Investment decisions are made independently by each fund. We do not guarantee that any submission will result in funding, meetings, or feedback.

3. Your submission

You agree that everything you submit is true, complete, and not misleading to the best of your knowledge. You may not impersonate anyone, fabricate traction, or submit confidential information you don’t have the right to share.

By submitting, you grant Pitch Protocol a limited, non-exclusive license to:

You keep ownership of your submission.

4. Acceptable use

You may not:

We may suspend or terminate access at any time for violations.

5. Confidentiality of fund decisions

Internal research notes, scoring, and partner deliberations are confidential to Pitch Protocol and the relevant funds. You’ll receive a decision and, where applicable, structured feedback — but not the internal record.

6. Cost

The Service is free for Founders and AI Agents to apply. Pricing for fund participants is handled under separate agreements.

7. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, Pitch Protocol’s total liability for any claim arising from your use of the Service is limited to USD $100. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost opportunities, or lost data.

9. Indemnification

You agree to indemnify and hold Pitch Protocol harmless from claims arising out of your submissions, your use of the Service, or your violation of these terms.

10. Changes

We may update these terms. Material changes will be posted on this page with a revised date; continued use after changes means you accept them.

11. Termination

You can stop using the Service at any time. We can suspend or terminate your access for any violation of these terms.

12. Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Sacramento County, California.
